Ability presta servicios de cloud hosting a más de 70 clientes empresariales, principalmente a medianas empresas, sobre todo para alojamiento de ERPs (aplicaciones de control empresarial, Enterprise Resource Planning en su acepción inglesa) y en particular SAP, en Colombia.

Con esta adquisición, Gigas añade nuevos clientes empresariales que encajan de forma óptima con su perfil de cliente objetivo, refuerza su presencia en Latinoamérica, y en especial en Colombia, el que ya era su segundo mercado después de España y sigue apostando por el mercado de alojamiento de aplicaciones de misión crítica en la nube donde, entre otros, Gigas fue el primer operador de servicios de cloud tanto en Latinoamérica como en España en obtener, en 2014, la certificación Infrastructure Operations Services de SAP, para alojar las aplicaciones del conocido fabricante de software en la nube.

Ability fue constituida en 2006 en Bogotá (Colombia) dedicándose inicialmente al mercado de implantación de ERPs aunque en los últimos cuatro años se ha focalizado en la prestación de servicios de cloud hosting en los que ha crecido de forma importante, relegando el negocio de implantación de ERPs.  Ability alcanzó una facturación de alrededor de 1,59 millones de euros en 2017 (5.487 millones de pesos colombianos, datos no auditados), un 35,3% más que en 2016 aunque con algunos ingresos extraordinarios no recurrentes, y con un EBITDA del 25,2% sobre ventas.  Para el año 2018 se espera que Ability pueda alcanzar una facturación aproximada de 1,63 millones de euros recurrentes, todos ellos de servicios de cloud hosting, contribuyendo con alrededor de 0,9 millones de euros a las cifras consolidadas de Gigas del ejercicio 2018 desde el momento de su incorporación al perímetro del Grupo. Asumiendo el cumplimiento del presupuesto de 2018 comunicado al Mercado mediante Hecho Relevante de fecha 29 de enero de 2018, Gigas alcanzaría una facturación a clientes (ventas brutas) de 10,2 millones de euros este año, de los que Ability podría aportar el 8,8%.

El gestor actual de Ability, Joaquín Miranda, se incorporará al Grupo Gigas y pasará a liderar los esfuerzos comerciales de la Compañía en la región como Director para Latinoamérica.  Ability cuenta con un equipo humano de 13 personas basadas en Bogotá que se integrarán en Gigas junto con las 6 personas que Gigas ya tenía en Colombia.  Este equipo se encargará de la gestión comercial y técnica de los clientes en Colombia y servirá para dar soporte al resto de países Latinoamericanos, aportando una base operativa a Gigas en la región.  Ability dispone, además, de su infraestructura instalada en un Datacenter en Bogotá, que se sumará a los datacenters desde los que Gigas ya opera en Madrid, Barcelona, Miami y Santiago de Chile. Para simplificar la gestión, Gigas prevé que la filial colombiana de Gigas, Gigas Hosting Colombia SAS, absorba a Ability en los próximos meses.

El precio de la transacción se ha estructurado mediante el pago de un importe fijo (mezcla de entrega de efectivo, acciones nuevas de Gigas y de asunción de deuda financiera) y de un importe variable sujeto a la cifra de ventas de 2018, 2019 y 2020 que consiga el Grupo Gigas en la región latinoamericana.  Así, la Compañía pagará un importe en efectivo de 1,36 millones de euros (de los cuales un 77% ya ha sido abonado en la fecha de firma del acuerdo de compraventa y un 23% queda aplazado hasta dentro de doce meses) y 0,3 millones de euros adicionales mediante la entrega de nuevas acciones de Gigas, que serán emitidas en la próxima junta General Ordinaria de Accionistas que se celebrará en el mes de junio, a un precio de 6,34 euros.  La transacción incluirá por tanto 47.318 acciones de Gigas de nueva emisión, que supondrán el 1,09% del total de acciones emitidas.  La parte fija incluye además la asunción de contratos de financiación de equipamiento informático por valor de 0,32 millones de euros. Desde un punto de vista de valoración, y tomando las ventas estimadas para 2018, Gigas ha adquirido Ability a un múltiplo equivalente a 1,2 veces ventas.

Adicionalmente a los importes indicados, Gigas podrá pagar a los antiguos dueños de Ability hasta un máximo de 0,75 millones de dólares americanos en los ejercicios 2018, 2019 y 2020, si la facturación de Grupo Gigas en la región latinoamericana cumple con unos objetivos de facturación a clientes (ventas brutas) durante los próximos tres ejercicios, que supondrían alcanzar 10,3 millones de dólares americanos en 2020. 

La adquisición se financiará, en su mayor parte, con recursos actuales disponibles en el balance de Gigas, provenientes de la emisión de obligaciones convertibles y/o canjeables de abril de este año suscrita íntegramente por el Grupo Inveready.

Con la adquisición de Ability, Gigas refuerza su posición comercial en Colombia, convirtiéndose en el operador de cloud local con más instalaciones de SAP del mercado, suma una base operativa y un nuevo Datacenter en la región y continúa con su estrategia de complementar su crecimiento orgánico con operaciones inorgánicas. La Compañía continúa evaluando oportunidades que puedan aportar volumen y valor al Grupo.
