Santander y Broadridge utilizan por primera vez tecnología blockchain para votar en una junta general de accionistas

Santander y Broadridge, en colaboración con J.P. Morgan y Northern Trust como custodios globales de inversores no residentes, realizaron una prueba piloto el 23 de marzo para la junta general de accionistas de Santander, que incluyó la participación de los Servicios Corporativos del banco como agente del emisor.

La prueba piloto se ejecutó en paralelo con la junta de Santander. Se utilizó blockchain para generar un registro digital “en la sombra” del voto por delegación que se realizó utilizando el modelo de votación convencional.

Santander y Broadridge, en colaboración con J.P. Santander, que es el mayor banco de la zona euro por capitalización bursátil, tiene más de cuatro millones de accionistas y el 60,7% del capital está en manos de inversores institucionales. En la última junta, los inversores institucionales tuvieron la oportunidad de ver cómo sus votos se podían contar y confirmar con mayor rapidez (será posible hacerlo de forma instantánea) gracias a la tecnología blockchain, en vez de tener que esperar dos semanas en un proceso que incluye la actividad manual de los distintos intermediarios. Esta iniciativa podría aumentar la motivación para votar, lo que mejora la democracia corporativa. El 21% del capital que participó en la junta probó la nueva plataforma. El quórum de Santander en la última junta marcó un récord del 64,55%. Esta nueva tecnología también supone una oportunidad de negocio para los Servicios Corporativos de Santander Global Corporate Banking, la división mayorista del banco, que actúa como agente del emisor en las juntas de más de 50 grandes clientes.

Esta capacidad de confirmar los votos a los inversores finales será requerida por la Directiva Europea sobre Derechos de los Accionistas, que entrará en vigor en junio de 2019 y requerirá compartir información entre los intermediarios el mismo día hábil.
Santander y Broadridge llevaron a cabo una prueba de concepto hace aproximadamente un año en un entorno de blockchain cerrado, en colaboración con J.P. Morgan y Northern Trust. Desde entonces, Broadridge ha seguido innovando mediante el establecimiento de una red distribuida entre todos los participantes que está integrada en la plataforma de blockchain Quorum. Entre otras ventajas, hay una mayor transparencia a lo largo del ciclo de vida del voto. La funcionalidad añadida también incorpora la expansión de la plataforma para incluir la participación de inversores institucionales con el fin de ofrecer mayor transparencia y confirmación del voto institucional a lo largo de la cadena de intermediarios.
